      ****** S. ******* General Manager, *************** ***************************************************************************** ***** 6/14/2024 ***** *********** Account Manager ********************** *************** ************************************************************************************************* ********************* I am writing, again, to formally cancel the ReadySuite USA Agreement and the Addendum to the A (Agreement) dated 8/11/23, by and between Agility Recovery ************** and *************** (copy of the first letter is attached) Please consider this letter as a formal notice of cancellation for: Policyholder: ****** Policyholder name: ***************Effective date: 8/11/23 With this second letter, *************** provides the minimum notice specified in our Agreement per the minimum notice and conditions that our contract requires. Reasons for terminating the Agreement and Addendum to the A (Agreement) dated 7/10/23 falls under the Termination clause on page 3 of Addendum A and was spelled out in our letter to ******* ******, Agility Director of Sales Recovery, on 1/26/24 (see copy attached). Agility failed to cure the breach within 30 days of receiving written notice of the breach. Italfoods did not receive a Cancellation Opportunity letter as Agility claimed in their internal email to A/R. I demand that you cancel the Agreement and Addendum A and cease any future billing or charges associated with it. This should be processed within 30 days of this letter and acknowledged in writing. Please inform me of any additional steps or forms that need to be completed for the cancellation process and provide confirmation of the cancellation and effective date of the termination. Additionally, please refund any premium amount that may be due Italfoods for the unused portion of the policy term.       Agility Recovery is committed to operating within the terms of all customer agreements. The addendum to our existing agreement with ************** includes clear language regarding cancellation, which we have attached for your reference. Additionally, we have included separate email correspondence from July 2023 between Agility Recovery and Italfoods representatives pertaining to this matter.

      Upon learning about this complaint filed with the BBB, Agility Recovery received further communication from legal counsel representing *************** regarding their cancellation notice. We are actively responding to that correspondence.

      We are confident that all actions taken by Agility Recovery are consistent with our agreement with *************** and we are dedicated to resolving this issue amicably and promptly.
