      My partner in ****** ************** ************ and I were involved with Ted D******* as a partner in an LLC called ******* ***. As part of that partnership, Ted and his company agreed to provide software development as his part in the partnership. ******* was developing a complex method of doing an eye exam on the ********* ********. ******* was not to be charged for this work. In addition, my partner and I as *** wanted to develop a software product (****) for helping people who lost visual field to get the field back. We agreed to pay for this with Spheregen. However, when presented with the billing, we find the majority of the billing for **** is actually for work for *******. This is easy to see since ******* involved several tests with the words refraction or convergence, etc. The software involved the use of the words "acuities", "test" or "exam". **** was a simple program which involved only vertical lines which moved and did not do acuities, exams, tests, etc. It was just one thing and that was moving lines which could be different colors or diferent speeds or sizes, but not multiple tests. We got billed for over $200,000. When we had the same **** first developed for a PC, the total time was one month and took one person to program. Yes, putting it on the web would be more involved. Also, **** did not involve audio instructions. ******* did. ******* also was shown to buyers and had to be written in Japanese. The notes in the billing referred to Japanese and audio recording which were only on *******, yet Sphergen claims this work was for ****. The partner at Spheregen sent an email threatening us with selling our software to others. He also said that he looked over the billing after we questioned it and pointed out the discrepancies and he stands firm saying all of the billing is correct and none is for *******. i attached a PDF of the billing which is read more easily as an excel file, but I could not upload that in your format.

      The dispute which *** ******* filed was in relation to the amount owed for a business transaction between 2 companies, *** and SphereGen. As *** ******* stated - the owners of these companies are also owners in a company called *******.

      The owners of ******* are actively working on a settlement within ******* which includes negotiations regarding settling the dispute between *** and SphereGen.  Fair settlements have been offered in relation to this dispute. If you have any other questions regarding this matter, please let me know.

      The dispute is over billing to the wrong entity for work performed by Spheregen--a software company. They refuse to acknowledge that they billed *** for work done for *******. While two of the principals in *** own most of *******, Spheregen, the software company, also owns over 40% of *******. They tried to bill *** for work they performed for *******. When this was shown to them, they still claimed it was work done for ***. The amount involves over $100,000.

      The two parties have negotiated a settlement, but have yet to sign the agreement. I do expect that the agreement will be signed and the problem resolved. I will report when that has occurred.
